Market Choir Terms of Service

These Terms of Service ("Agreement") are a legal contract between you ("Customer" or "you") and A Thin Line Between Productions, LLC dba Market Choir ("Market Choir," "we," "our," or "us"). They govern your access to and use of our AI-powered marketing automation platform, available at https://app.marketchior.ai (the "Service").

By clicking “Agree,” signing up, or using the Service, you accept and agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. Definitions

• Aggregated Statistics: Anonymized data derived from your use of the Service, used by Market Choir for benchmarking, analytics, and improving the Service.

• Authorized User: Your employees, contractors, or agents authorized by you to use the Service under this Agreement.

• Confidential Information: Non-public business or technical information, including your account data, marketing plans, or any information marked “confidential.”

• Customer Content: All text, images, videos, and other materials you or your Authorized Users submit to the Service.

• Documentation: Online or printed user guides, FAQs, and help articles provided by Market Choir.

• Feedback: Suggestions or comments you provide about the Service.

• Service: The online marketing automation tools, APIs, and related features provided by Market Choir.

2. Access and Use

(a) Eligibility: You may use the Service only if you can form a binding contract with Market Choir and comply with this Agreement and all applicable laws.

(b) License: Subject to payment of fees and compliance, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

(c) Account: You must register for an account, keep your credentials secure, and notify us of any unauthorized use.

3. Subscription and Fees

You agree to pay all fees specified in your subscription order. Unless otherwise stated, fees are non-refundable and billed in U.S. dollars. Overdue payments may incur interest at 1.5% per month.

4. Confidentiality

Each party will keep the other’s Confidential Information secret and use it only to perform under this Agreement.

5. Intellectual Property

(a) Your Content: You retain all rights in your Customer Content.

(b) Our Platform: Market Choir owns all rights to the Service, Documentation, and Aggregated Statistics.

6. Data Privacy & Security

We process personal data according to our Privacy Policy. We maintain technical and organizational measures to secure your data but cannot guarantee absolute security.

7. Restrictions

You will not:

• Reverse engineer or decompile the Service;

• Use the Service to transmit spam or malicious code;

• Transfer, sell, or sublicense the Service to third parties.

8. Aggregated Statistics

We may compile and use Aggregated Statistics internally and share with third parties for benchmarking, provided individual users are not identified.

9. Termination

We may suspend or terminate access if you breach this Agreement. Upon termination, all rights granted will cease.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES. MARKET CHOIR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

IN NO EVENT WILL MARKET CHOIR BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.

12. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to conflict of law principles. Venue is in Pinal County, Arizona.

13. Entire Agreement

This Agreement, along with any subscription order and the Privacy Policy, constitutes the entire understanding between you and Market Choir and supersedes all prior agreements.
